CLICK-THROUGH
IMAGE AND VIDEO LICENSE AGREEMENT

THIS AGREEMENT is made as between the company or entity using AvePoint's Images (the "Licensee"), and AvePoint, Inc., a Delaware corporation.

Recitals

WHEREAS, Licensee desires to use one or more of the Images to which this click-through agreement is attached (the "Image");

WHEREAS, AvePoint is willing to provide one or more of the Images to be used by Licensee solely in accordance with the terms herein;

NOW THEREFORE, the parties hereto have agreed to the terms and conditions set forth below with respect to the non-exclusive use by Company of the Images.

• 1.     DEFINITIONS AND INTERPRETATION. Unless defined elsewhere in this Agreement, capitalized terms shall have the meanings ascribed to them as follows: (a) "IMAGE": means any images, likenesses and service or trademark of AvePoint or AvePoint employee, including but not limited to logos, headshots and product screenshots; (b) "PURPOSE": to utilize the Images in any and all media to advertise, promote and publicize AvePoint's products; and (c) "TERM": shall commence on the date Licensee accepts the terms of this Agreement and shall continue until terminated pursuant to Section 4 of this Agreement.

• 2.     GRANT OF RIGHTS. During the Term, subject to the terms and conditions of this Agreement, AvePoint grants to Licensee a non-exclusive license to (a) digitally encode and duplicate AvePoint's Images in their entirety in connection with the Purpose set forth above; and (b) use the name and approved or supplied likenesses of AvePoint for the purpose of advertising, promoting or publicizing AvePoint. The Images shall not be edited in any way whatsoever; any resizing, distorting, altering or otherwise editing of the Images in any way shall constitute a breach of this Agreement and will result in the immediate termination of the Agreement pursuant to Section 4 hereto. Any usage of the Images to cause harm or injury to AvePoint's good name and reputation shall be considered libelous.

• 3.     TERMINATION; LIMITATION OF LIABILITY. AvePoint may, in its sole discretion, terminate this Agreement at any time for any reason in by notice to Licensee.

• 4.     GOVERNING LAW. This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia without giving effect to any choice or conflict-of-law provision or rule (whether of Virginia or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than Virginia.
